当社が招集した2020年５月７日開催の乾汽船の臨時株主総会買収防衛策廃止の議案についての株主の属性別賛否について - PR TIMES

　当社が招集した乾汽船株式会社臨時株主総会（以下「本総会」）において、株主属性別の賛否の結果をお知らせいたします。
　下記の表から分かる通り、本総会では乾汽船に対して委任状を提出した株主数は乾汽船の株式持合い先14社を含めて191名であり、その議決権の個数は96,133個（行使された議決権個数に占める割合は42.8％、この内、持合い先の割合は16.7％）でした。
　当社は、日本の上場企業に蔓延る株式持合による流動性を欠く株主の存在は、経営者の保身のために資本が無駄使いされていることや、経営者の緊張感のない怠慢経営を助長することから、企業価値向上には寄与しないと考えております。

Voting result categorized by type of shareholders at Extraordinary General Shareholders Meeting of Inui for agenda of “abolition of takeover defense plan” convened by Alphaleo on May 7.

　With respect to the Extraordinary General Shareholders Meeting of Inui held by Alphaleo on May 7 (the “Meeting”), we hereby disclose the voting result categorized by type of shareholders.
　As shown below, at the Meeting, the number of shareholders who granted the blank proxy to Inui was 191 (including the shareholders of cross-holding with Inui), and the number of their voting rights was 96,133 (which was 42.8% of total voting rights exercised at the Meeting)(among them, the shareholders of cross-holding with Inui occupied 16.7%).
　Alphaleo believes that cross-holding among Japanese listed companies destroys the corporate value because of (a) waste of corporate capital for self-protection of the management, and (b) dereliction by the management with little tense.
